Setting up a business address, incorporating a BV (Dutch private limited company) or applying for additional business services: at several points you will be asked to provide UBO information. That can feel like extra admin, especially when you want to get started quickly. Even so, providing this information is not optional. It helps keep financial and business services transparent, reliable and secure.<\/p>\n

For entrepreneurs, the practical side matters most: without complete and up-to-date UBO information, an application may be delayed or a service may not be activated. By understanding in advance what a UBO is, which details are required and why a provider asks for them, you avoid unnecessary back-and-forth emails and can keep your focus on your business.<\/p>\n

What exactly is a UBO?<\/h2>\n

UBO stands for Ultimate Beneficial Owner. This is the person who ultimately owns or controls an organisation, or who benefits from it financially. In the case of a BV, this is often someone who holds more than 25 per cent of the shares, more than 25 per cent of the voting rights, or who has effective control over the company.<\/p>\n

The legal structure is decisive. In a structure with a holding company and an operating company, for example, a UBO may be an indirect owner through several BVs. Different criteria apply to foundations, associations and partnerships. Is there no individual who meets the usual ownership or control threshold? In that case, the senior managing officials are usually designated as UBOs.<\/p>\n

This distinction matters. A director is not automatically a UBO, and a UBO does not need to work in the business on a day-to-day basis. Correct registration therefore starts with a clear picture of your ownership structure and decision-making authority.<\/p>\n

Why provide UBO information?<\/h2>\n

The essence is simple: laws and regulations require organisations and certain business service providers to establish who is behind a company. This makes it harder to use corporate structures for money laundering, fraud, terrorist financing or other financial crime.<\/p>\n

For a trustworthy entrepreneur, this is also a business advantage. Transparency about the ultimate owner builds trust with banks, accountants, business partners and service providers. Particularly when your company grows, attracts investors or starts operating internationally, a well-documented structure is not an afterthought but part of running a professional business.<\/p>\n

When you apply for a business address, mail handling or another business service, a provider may carry out additional checks. Exactly which information is required depends on the service, the legal form, the ownership structure and the risk assessment. A simple sole trader business usually requires less investigation than a BV with several shareholders or foreign holding companies.<\/p>\n

Providing UBO information is therefore not intended to burden entrepreneurs unnecessarily. It is a check that helps keep services available to legitimate businesses and limits misuse of business facilities.<\/p>\n

The UBO register and customer due diligence are not the same<\/h2>\n

A common assumption is: my UBO is already registered with the Netherlands Chamber of Commerce (KVK), so I don\u2019t need to provide anything else. In practice, it is more nuanced than that.<\/p>\n

UBO registration and a service provider\u2019s customer due diligence (CDD) are two separate processes. In the UBO register, you record the required details for your organisation and keep them up to date. A business service provider may also be required or entitled to verify independently who it is doing business with. As part of this, you may be asked for proof of identity, an organisational chart, shareholder information or documents that substantiate the control structure.<\/p>\n

Access to UBO information is also restricted and subject to rules. That does not mean that organisations with a legitimate basis for their activities no longer need to carry out verification. They must be able to demonstrate independently that their customer due diligence has been carried out properly.<\/p>\n

What information do you usually need to provide?<\/h2>\n

The exact request varies by situation, but expect to have to substantiate the identity and role of the UBO. This often includes name, date of birth, nationality, country of residence, and the nature and extent of the interest or control. Additional documentation is sometimes needed, for example when ownership runs through a holding company or when foreign legal entities form part of the structure.<\/p>\n

A valid identity document is generally used to establish identity. Only provide what is requested and follow the provider\u2019s secure submission instructions. A professional provider handles this information with care and uses it for the necessary compliance and verification process.<\/p>\n

Does your company have more than one UBO? Collect the details of everyone involved straight away. Waiting for one missing document is one of the most common causes of delay. The same applies to complex structures involving shareholders, depositary receipt holders, personal holding companies and foreign entities.<\/p>\n

When should you update your UBO information?<\/h2>\n

UBO information is not a one-off formality. Has the ownership, the distribution of voting rights or effective control within your organisation changed? Then you need to assess whether your UBO registration and the information held by relevant service providers are still correct.<\/p>\n

Think of a new shareholder joining, a sale of shares, a restructuring, or a change in the board that triggers the fallback to senior managing officials. A change of address, a change of name or a change in a UBO\u2019s personal details can also affect whether your file is up to date.<\/p>\n

Make this part of your regular business administration. Don\u2019t just discuss changes in ownership with your civil-law notary, accountant or adviser; also check which business partners need your current details. That way, you won\u2019t have to gather documents under time pressure when it comes to a renewal, expansion or new application.<\/p>\n

What happens if you don\u2019t provide the information?<\/h2>\n

If mandatory information is missing, a provider may be unable to complete your application or may temporarily restrict an existing service until your file is complete. That is frustrating when you are about to register with the KVK, are expecting post at your business address or are planning to expand your services.<\/p>\n

In addition, incorrect or outdated registration can have legal and financial consequences. Ultimately, responsibility for correct UBO information lies with the organisation and its directors. It is therefore wiser to answer questions about UBOs promptly and fully than to guess which information is or isn\u2019t required.<\/p>\n

Bear in mind that not every request for information has the same legal basis or scope. You are always entitled to understand why a party is requesting information, how it will be processed and which documents are strictly necessary. Acting with business prudence also means not sharing personal data more widely than needed.<\/p>\n

How to provide UBO information without delay<\/h2>\n

Start with an up-to-date overview of your structure. For a simple BV, this is often quickly done: who owns the shares, who has voting rights and who has effective control? For a holding structure, an organisational chart that clearly shows percentages and legal entities is helpful.<\/p>\n

Next, check that the details in your own records match your registration. Make sure identity documents are valid and that names, dates of birth and addresses are stated consistently. A small spelling difference or an expired document often leads to follow-up questions.<\/p>\n

Keep your documents in one central place, with appropriate access controls. If you maintain an up-to-date compliance file, you won\u2019t have to start from scratch with every business application.
